HRSG – Innovative Business Solutions is currently hiring for the following position for one of its client.

Job Title: Chief Executive Officer

Job Location: Karachi
Reports to: Board of Directors

General Job Objectives:

• As the strategic and operational leader of the company, the CEO is responsible for shaping and executing the company’s vision, developing strategic partnerships, ensuring financial sustainability, and leading a high- performance team to deliver exceptional outcomes for clients and stakeholders.
• The CEO will ensure effective execution of the company’s business plan and the implementation of restructuring mandates in line with approved strategy.
• The CEO must fulfill the Fit and Proper Criteria prescribed by the Securities and Exchange Commission of Pakistan (SECP) under Circular No. 06 of 2024, which is applicable to the Chief Executive Officer and members of the Board of Directors of the Company.

Main Duties and Responsibilities

Strategic Leadership
• Define and drive the overall vision, mission, and long-term strategy of the company.
• Identify market opportunities in the sector restructuring, turnaround, insolvency, and distressed asset management.
• Cultivate strong relationships with regulators, financial institutions, investors, and government entities.
• Prepare Annual Budgets and Strategic Plans, ensuring approval of the Board.
• Keeping abreast of market developments to ensure risks and opportunities are properly, and on a timely basis, identified and incorporated in strategic plans and initiatives.
• Participate in Board meetings and update them on operational performance, significant developments and fresh initiatives, seeking approval wherever required.

Operational Excellence
• Oversee daily operations, ensuring efficiency, quality of service, and compliance with regulatory frameworks.
• Lead the development and implementation of internal systems, performance metrics, and corporate governance policies.
• Manage risk effectively across all areas of the business.
• Develop appropriate committees, departmental and reporting structures in the Company to effectively manage Company affairs and implement strategic initiatives.
• Ensure regular review of policies, procedures and existing exposures
• Ensure development of an effective Management Information System to fully remain informed of operating performance with accurate and timely communication to and from staff.
• Ensure that operations are performed in compliance with laws, rules and regulations and that adherence to these obligations are regularly monitored.

Financial Stewardship
• Drive revenue growth and profitability while maintaining cost efficiency.
• Approve budgets and ensure proper financial reporting and control mechanisms.
• Ensure regular financial and regulatory reporting in line with applicable rules and accounting policies to internal and external stakeholders.
• Establish and maintain adequate and effective system of internal controls and ensure its review through appropriate oversight functions.
• Promote thorough and transparent Audits with complete information sharing and with systems to ensure rectification of Internal Audit as well as External Audit.
• Manage investor relations.

Team Leadership
• Build, mentor, and lead a team committed to the company’s core values and strategic direction.
• Supervise, guide and motivate the management team with proper delegation of authority and responsibilities at each level.
• Help foster an equal opportunity environment based on merit that promotes teamwork and retains performing employees.
• Evaluate the performance of direct reports at year-end, to ensure performance is judged against pre-assigned targets and is properly compensated. Further, also oversee evaluation process at all levels is done judiciously.
• Establish a succession plan and ensure development of skills through training to prepare employees for multiple/higher responsibilities.
• Establish appropriate procedures governing the code of conduct of company employees in accordance with ethical rules laid down by the Board and ensure such rules are observed.
• Foster a collaborative, accountable, and purpose-driven workplace culture.

Client and Stakeholder Engagement
• Represent the Company in high-level client negotiations, industry forums, and regulatory discussions.
• Maintain positive professional relationship with customers, counterparts including: financial institutions, professional bodies/associations to ensure Company benefits from existing and new business generation.
• Ensure superior service delivery and outcomes for clients facing corporate distress or complex restructuring.
• Serve as the primary spokesperson and representative for the organization on external forums.

Regulatory and Governance Compliance
• Act as the principal liaison with the SECP and other regulatory bodies.
• Ensure strict compliance with SECP CRC Regulations, Companies Act, and relevant financial laws.
• Support the Board in fulfilling its governance and fiduciary responsibilities.
• Ensure timely regulatory filings, board reporting, and implementation of SECP directives.

Other Skills Required

• Strategic thinking and Analytical acumen: In depth knowledge of insolvency laws, distressed M and A, financial modelling, and restructuring instruments.
• High ethical standards with a commitment to transparency: Expertise in debt restructuring and refinancing, including negotiation with creditors, banks, and syndicates.
• Entrepreneurial mindset with strong commercial Orientation: Awareness of corporate governance reforms during periods of financial distress and turnaround phases.
• Strong leadership and interpersonal communication abilities: Familiarity with court-supervised restructuring processes, such as administration, liquidation, or schemes of arrangement.
• Entrepreneurial and commercially focused mindset: Insights into regulatory compliance, especially financial reporting and other laws relevant to distressed environments.

Profile Requirements

Academic
• Minimum Bachelor’s degree in Accounting, Finance, Economics, or Law.
• Preferred: Master’s degree, ACCA, CA, CFA, or equivalent qualification in a relevant discipline.

Relevant Experience
• 10–15 years of progressive leadership experience in corporate restructuring, investment banking, private equity, turnaround advisory, or related financial services.
• Minimum 5 years in a C-level or senior executive position with a demonstrable track record in:
o Executing complex restructuring engagements.
o Leading corporate turnarounds or managing distressed asset portfolios.
• Fulfilment of Fit and Proper Criteria prescribed by the Securities and Exchange Commission of Pakistan (SECP) under Circular No. 06 of 2024 applicable to CEOs and Board of Directors of CRCs.
